LENCO MOBILE INC. Announces Filing of Form 10 with the Securities & Exchange Commission

Announcing the filing, Michael Levinsohn, CEO of Lenco Mobile Inc., said, “By making this filing Lenco Mobile intends to meet the responsibilities of a fully reporting company. This includes filing annual and periodic reports on Form 10-K, 10-Q and 8-K as well as making our financial information available to shareholders and the general public. I am really pleased that we have got to this point and now we will wait for the regulatory process to follow its course."

Commenting on the Company’s plans to list on an exchange, Levinsohn added, “We intend to file an application for listing on a major international exchange. At this stage our plan is to compile the necessary information as soon as possible and to submit the application to either the NASDAQ Capital Market or NYSE Amex. We have engaged professional advisors to manage the process for us and are in discussions with investment banking firms regarding sponsoring the Company's listing." He added, "While we cannot guarantee approval for the listing, we intend to diligently make the application and take any commercially reasonable steps we can to meet the listing requirements for one of these exchanges."

Registration statements on Form 10 automatically become effective 60 days following their filing with the SEC. However, the SEC may comment on the registration statement, and, in its discretion, can request that the Company withdraw the registration statement, and resubmit a new registration statement which addresses the SEC's comments. Any resubmission would restart the 60 day period to becoming effective. Lenco Mobile cannot provide any assurances as to when the registration will become effective.
