STAMFORD, Conn. - (Business Wire) Hexcel Corporation (NYSE: HXL), today announced that based on proxies submitted to the Company at the Annual Meeting held today in Stamford, Connecticut, the Company believes that its shareholders have elected, by a substantial margin, all of Hexcel
’s nominees to the Company
’s Board of Directors and have not elected any of the three nominees put forward by Oscar S. Schafer & Partners II LP (
“OSS
”).

Amongst the Hexcel Directors presumptively elected today is Dr. David C. Hill, who will be joining the Board as successor to Arthur Bellows, Jr. who retired at the annual meeting. Dr. Hill is the retired CEO of Sun Chemical Corporation where he worked from 2001 through 2007. Prior to joining Sun, Dr. Hill was President of J.M. Huber Engineered Materials from 1997-2001. Dr. Hill spent the previous 17 years of his career with AlliedSignal, Inc. in a variety of roles, including Chief Technology Officer, Engineered Materials; President, Fibers; President, Advanced Materials; and finally President, Specialty Chemicals. Dr. Hill started his career with Union Carbide Corporation after receiving a PhD in Materials Science and Engineering from the Massachusetts Institute of Technology.
David Berges also said, “We want to thank Art Bellows for his seven years of service and contributions to the Board, including his leadership of the Audit Committee. We welcome Dr. David Hill to our Board and believe he will be of particular help as we advance our carbon fiber capacity and technology.”
Prior to the closing of the polls at the Annual Meeting, all proxy cards received by Hexcel Corporation and OSS were turned over to IVS Associates, the independent inspector of elections, for final tabulation and certification, which the Company expects to occur within a few weeks. Hexcel Corporation will publicly disclose the final results once they are made available to the Company.
