Cardinal Health Holds Annual Meeting, Releases Preliminary Shareholder Voting Results

DUBLIN, Ohio, Nov. 4 /PRNewswire-FirstCall/ -- Cardinal Health today released the preliminary results of shareholder voting at its annual meeting of shareholders, and the board of directors declared the company's 101st consecutive regular quarterly dividend.

Based on the preliminary voting results, shareholders elected 10 directors to the board, ratified Ernst & Young as the company's independent registered public accounting firm and re-approved the performance criteria under the company's management incentive plan. Shareholder proposals relating to performance-based stock options and requiring an independent chairman of the board did not pass. Separately, the board of directors declared a regular quarterly dividend of $0.175 per share, payable on Jan. 15, 2010 to shareholders of record on Jan. 1, 2010. For more than 25 years, Cardinal Health has paid a regular quarterly dividend. The company had approximately 363 million shares outstanding as of Oct. 31.
